What You'll Do
The General Counsel is responsible for directing all legal matters and coordinating compliance activities for CarDon & Associates and affiliated entities (the “Company”). This role involves providing legal counsel to the board of directors, chairperson of the board, president, chief executive officer, senior management, and health care facility leaders.
- Developing and leading corporate legal strategy to promote and protect the Company; advising senior leadership on day to day legal issues, coming trends, and changes in law and regulation impacting the Company.
- Responsible for, in coordination with outside counsel, the Company’s litigation portfolio with emphasis on professional and general liability, labor and employment, and workers’ compensation, and other civil litigation.
- Leading legal review and diligence, internally and externally, on transactions including acquisitions, mergers, and joint ventures.
- Perform and manage contract review in coordination with compliance and privacy officer and, as needed, outside counsel.
- Engaging with the compliance and privacy officer to ensure Company and community regulatory compliance, as well as the handling of administrative hearings concerning discharge and transfer, informal dispute resolution, and government investigations.
- Maintaining proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures, and the community at large.
- Drafts necessary legal documents and develops conclusions and recommendations.
- Assists in addressing situations of high legal exposure or risk; understands overall business risk tolerance and considers it in the context of risk management strategies and actions.
- Creates practical and effective solutions to legal issues with no established precedent; develops creative solutions to unique legal problems.
- Capable of taking the lead role in negotiations that are extremely complex, strategic, or sensitive in nature. Considers the long-term business and strategic consequences of possible outcomes.
- Delivers difficult messages or news, or challenges colleagues when necessary; responds to challenges to advice directly and effectively.
- Establishes a wide network of relationships; builds rapport with associates and colleagues at all levels within the organization as well as externally within the Long-Term Care Industry.
- Participate in national trade associations and industry organizations to provide connectivity and networking for the Company.
- J.D. from an American Bar Association-accredited law school. Active license to practice law in Indiana.
- 7 to 10 years, or more, of healthcare-specific legal experience. Preference for experience in administrative and civil litigation, health care transactions, and/or corporate governance.
- Preference for work experience with Long-Term Care and Senior Living providers and/or health care providers directly engaging Long-Term Care and Senior Living providers.
- Proactive, solutions oriented, and independent thinker.
- Ability to develop and implement legal strategies and solutions, balancing risks.
- Excellent presentation development and delivery.
- Strong negotiating skills.
- Ability to analyze and interpret issues and to prepare legal opinions.
- Communicate and interact with officials at all levels of government.
- Supervise and coordinate the work of legal professionals, paraprofessionals, and consultants.
- Provide legal advice and counsel to senior leaders on a wide range of legal and policy issues.
- Fiscal management, including budgeting.
