This position will be located in our headquarters in Columbus, Ohio.Position Summary : The selected candidate will report to the Assistant Director, Managing Corporate Counsel, and provide ongoing business and legal guidance and risk analysis. The candidate will also collaborate with cross-divisional teams and executive management on strategic business initiatives and internal operations. The Corporate Counsel provides business and legal guidance and risk analysis to all CAS functional areas. Key responsibilities include, but are not limited to, collaborating with cross-divisional teams and management to plan and execute strategic business initiatives, supporting a global Sales team, negotiating and drafting a wide variety of commercial agreements and maintaining strong relationships with management, project teams, and peers across CAS. This role requires a focus on timeliness, continuous communication with stakeholders, a positive customer experience and an aim to find a win-win solution to move business initiatives forward.Job Accountabilities : Negotiate and draft a wide variety of commercial agreements with an emphasis on information technology and licensing and redistribution of intellectual property assetsNegotiate and draft a variety of domestic and international agreements such as professional services statements of work, software and hardware license agreements, partnership agreements, IP acquisition and distribution agreements, confidentiality agreements, contractor and consulting agreements, and other general business contractsServe as the legal lead for structuring and negotiating strategic collaborations and partnerships between CAS and other organizationsWork cross-functionally with business clients to draft contract terms, provide business-focused solutions and ensure agreements reflect strategic goals and mitigate risk for CASBuild relationships with executives, project teams, and peers across CASDevelop a thorough understanding of the CAS portfolio of products and services and its customers, market and competitorsQualifications : Juris Doctorate from an accredited law schoolAt least 3 years of relevant in-house or law firm experienceExperience advising and counseling clients and drafting and negotiating complex commercial agreementsExperience drafting and negotiating SaaS and licensing agreements is a plusExperience with contract lifecycle management systems is a plusProficiency in Microsoft Office suite including Outlook, Word, PowerPoint and ExcelAbility to influence, persuade and negotiate while taking into account legal considerations and business goalsDetail oriented, with a practical approach to solving complex legal problems; ability to organize, prioritize, and manage projects effectively in a dynamic, fast-paced environmentExcellent interpersonal skills with a proven ability to work collaboratively and effectivelyAbility to communicate with colleagues at various levels of the organization (support functions to executive team) in a plain and simple mannerAbility to work independently with little supervision while delivering results that meet or exceed expectationsEnthusiasm for learning with a proven ability to gain competence quickly and independentlyCAS offers a competitive salary and comprehensive benefits package, including a generous vacation plan, medical, dental, vision insurance plans, and employee savings and retirement plans.
