Overview: The General Counsel is responsible for providing general corporate and legal analysis and advice relating to the business including but not limited to regulatory and compliance matters, HIPAA/privacy law, and business transactions. The incumbent will work closely with internal stakeholders as well as customers on both compliance and contractual matters.

Duties and Responsibilities:

  • Provide counsel and legal advice on the interpretation of court cases, federal and state law, statutes, and interpretative guidance pertaining to regulatory and corporate compliance issues.
  • Writing and reviewing various legal contracts.
  • Negotiate with external parties on vendor and client contracts, business associate agreements and other commercial transactions.
  • Assist with the administration of company compliance program.
  • Work cross-functionally with the Business, Finance and Technology teams to ensure that contractual terms are compliant with legal and regulatory requirements and company policies.
  • Provide counsel regarding corporate transactions, regulatory matters, employee relations, commercial contracts and company policies, procedures and guidelines.
  • Communicating with outside counsel
  • Facilitating filings of licensing forms and other statutory requirements
  • Crafting and reviewing legal strategy in response to litigatory matters
  • Develop commercial models (including defining and drafting the relevant terms and conditions); and take on additional assignments and responsibilities as needed.
  • Maintain compliance with ComplexCare Solution's (CCS) policies, procedures and mission statement; adhere to all confidentiality and HIPAA requirements as outlined within CCS's Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position.
  • Fulfill those responsibilities and/or duties that may be reasonably provided by CCS for the purpose of achieving operational and financial success of the Company.
  • Uphold responsibilities relative to the separation of duties for applicable processes and procedures within your job function.

Job Requirements:

  • Minimum ten (10) years of related experience working in a law firm or corporate legal department environment; healthcare related experience strongly preferred.
  • Exceptional business judgment, with the ability to think strategically and provide practical advice by balancing business needs with legal risks.
  • Litigation management experience.
  • Knowledge of business and corporate law and experience with commercial disputes.
  • Familiarity with legal issues relating to human resources, commercial litigation, and alternative dispute resolution.
  • Conscientious and detail orientated.
  • Ability to work in a fast paced and dynamic environment.
  • Strong research and analytical skills.
  • Ability to effectively communicate with senior management, including translating complex technical and legal issues.
  • Ability to manage and set priorities effectively.
  • History of being a team player and willingness to contribute wherever needed; and
  • Experience with healthcare companies or companies within another regulated industry is preferred but not required.

Education:

  • J.D. degree from an accredited law school and licensed to practice law in any US state or D.C.

Physical Demands and Work Environment:

  • Sedentary work (i.e. sitting for long periods of time).
  • Exerting up to 10 pounds of force occasionally and/or negligible amount of force.
  • Frequently or constantly to lift, carry push, pull or otherwise move objects and repetitive motions.
  • Subject to inside environmental conditions; and
  • Travel for this position will include less than 5% locally usually for training purposes.
