Essential Functions :
- Draft, negotiate and review contracts including real estate and office leases, engagement letters and contracts with clients, information technology contracts and various agreements related to employment
- Draft, review and update corporate policies and procedures annually to address emerging issues
- Assist operating units to manage and resolve disputes with clients, vendors employees or third-parties
- Gather facts and conduct internal interviews regarding claims and investigations, gather documents and coordinate with outside counsel when necessary
- Assist in management of claims and litigation, including interviewing and selecting / retaining outside counsel to assist in gathering documents in response
- General legal research and continuing education
- Support committees responsible for setting company policy, including compliance, risk, incident response, and crisis management
- Advise business units and corporate functional groups on general legal matters, including contracts, data security and data privacy, employment, intellectual property and securities law
- Reinforce the ethical standards of the company as a member of the team that sets the tone at the top
- Participate in discussions with leadership for major policy and business decisions
- Adhere to ethics and employee code of conduct policies and, as appropriate, communicate the same to subordinates
- Perform other duties as assigned
