A top NYC boutique law firm is seeking a seasoned Corporate Paralegal.
Responsibilities:
- Prepare and file various entity formation documents, qualifications, withdrawals, amendments, DBA’s with Secretary of States
- Prepare organizational documents, including Statement of Sole Incorporator, Bylaws, LLC/LP Agreements, initial Board/Stockholders’ consents, annual minutes, etc.
- Prepare and file various IRS forms (Form SS-4s, Form 2553, Form 2848, Form 8821)
- Prepare and file annual statutory requirement filings for various entity types (Annual Reports, Biennial Statements, Annual Franchise Tax Reports, etc.)
- Prepare and maintain stock issuance documents (cap tables, stock ledger, stock certificates, etc.)
- Prepare, file and review of UCC financing statements, terminations and amendments
- Assist in M&A transactions, debt/equity financings, venture capital financings and fund formations
- Attend to legal due diligence calls; prepare summary
- Review and update closing checklists and disclosure schedules
- Review agreements; confirm references
- Arrange for signature deliverables
- Review entity status via Secretary of States
- Review lien search results; prepare summary
- Prepare closing binders and entity structure charts
- Manage service of process and legal/corporate billing
- Create and maintain data rooms
- Conduct legal research
- Review Corporate Transparency Act*
- Monitor recent developments and regulations for Corporate Transparency Act*
- Prepare and file Beneficial Ownership Information Reports via Financial Crimes Enforcement Network*
- Assist in other departments, as needed
