Position: Fractional CFO - Sell Side
Engagement: ~10 hours/week (flexible during critical deal phases)

About the Role
We have a great opportunity for an experienced Fractional CFO to lead the end-to-end sale of a private IT services company (~$20M revenue). You will act as the financial and strategic intermediary between company principals, buyers, and investment bankers, ensuring the business is positioned optimally to maximize valuation and deal terms.
Key Responsibilities
- M&A Leadership: Guide the full transaction lifecycle—from valuation and buyer outreach to due diligence, LOI negotiation, and closing.
- Financial Storytelling: Prepare and refine financial models, KPIs, and deal materials (CIM, QoE reports) to highlight strengths and justify valuation.
- Stakeholder Management: Serve as a trusted advisor to founders/shareholders, aligning interests and managing emotional dynamics during negotiations.
- Buyer/Banker Liaison: Interface with PE firms, strategic acquirers, and bankers, translating technical details into compelling business narratives.
- Financial Oversight: Ensure clean, audit-ready financials (experience with QuickBooks required; CPA a plus).
- Pre-Sale Optimization: Identify and document add-backs, normalize EBITDA, and advise on tax-efficient deal structures.
Ideal Candidate Profile
- Proven M&A Experience: 3 completed sales of private companies (10M–10M–50M revenue), ideally inT services, SaaS, or consulting.
- CPA and previous public accounting experience preferred, but not required
- Financial Acumen: Deep expertise in valuation (DCF, comps), quality of earnings (QoE), and deal structuring (earnouts, stock vs. asset sales).
- Skills: Ability to navigate complex negotiations while balancing founder expectations and buyer demands.
- Systems Proficiency: QuickBooks
