What you’ll be doing
You will provide U.S. legal support on cross-border and intercompany financings and other transactional work, including strategic corporate transactions. You’ll support the U.S. Corporate Secretary function, including providing guidance on Board and Committee governance, drafting and assisting with the preparation of Board and Committee meeting materials and minutes, managing the U.S. legal entity governance and maintenance function, and drafting corporate organizational and governance documents. You’ll also provide legal support to CIBC’s Global Corporate Secretary function on U.S. governance-related matters.
At CIBC we enable the work environment most optimal for you to thrive in your role. You’ll have the flexibility to manage your work activities within a hybrid work arrangement where you’ll spend 2-3 days per week on-site at 120 S. LaSalle, while other days will be remote.
How you’ll succeed
- Corporate Governance : Assist in the development, implementation, and maintenance of corporate policies and procedures.
- Regulatory Compliance : Keep abreast of proposed and existing U.S. legislation and regulations, and corporate governance trends.
- Cross-functional Collaboration : Serve as a key partner to multiple functions across the organization on a wide array of general corporate matters.
- Transactional Support : Provide U.S. legal support on cross-border and intercompany financings and other transactional work.
- Corporate Secretary Support : Support the U.S. Corporate Secretary function, including guidance on Board and Committee governance, and preparation of meeting materials and minutes.
