Cirrus Logic is seeking Director of Corporate Development. This position will be based in our Austin, TX location and will report to the Vice President leading Corporate Development. The role will work on corporate development activities for a multi-billion dollar market cap public semiconductor company with outstanding revenue growth, solid free cash flow generation, and a debt-free balance sheet with a sizable and growing cash position.
Responsibilities
Participate in the entire M&A and corporate venture processes including target identification, target engagement, valuation analysis, due diligence, negotiation, deal closure, and post-deal integration
Provide detailed analysis of M&A and investment ideas and comprehensive including various valuation methodologies (DCF, comps, LBO, VC method), strategic rationale, growth prospects, potential synergies, risks and WACC implications, etc.
Evaluate opportunities for strategic investments in relevant startup companies for gaining insights into adjacent market opportunities, potential future acquisition targets, technology partnerships, IP licensing, etc. This includes financing round valuation, financial, legal, business, and technical due diligence, knowing “market” terms, and negotiating term sheets
Build relationships with investment bankers and industry contacts to augment internal deal flow and gain market insights regarding competitive landscape
Actively contribute to building a pipeline of acquisition and investment targets on an ongoing basis to help drive profitable revenue growth
Lead the post-deal integration process and managing successful integration of the acquired companies
Qualifications
Strong background in corporate development either in a semiconductor or systems company is preferred
Strong financial background required with valuation analysis, competitive landscape analysis skills with technology sector experience
Minimum 8-10 years of experience in corporate development or investment banking required
An M.B.A or an advanced degree in finance preferred
Excellent communication and presentation skills
Demonstrated financial and business acumen
Advanced Microsoft Excel, PowerPoint skills, and knowledge of industry research platforms
Experience leading a wide breadth of transactions through due diligence, contract development & negotiations, signing, and completion over varied sizes from small (sub $25M) to large (over $1B)
Global experience including leading acquisitions, investments, or joint ventures with U.S., European, and Asian targets
Significant M&A and investment experience including deal structuring, valuation, due diligence, negotiation, and integration as well as a proven track record in full deal cycle from origination to closing.
Required Experience
Accounting including 3-statement analysis and how they interact. In addition, experience in how to extract important “financial” information relevant to transactions. Examples include : estimating cash flows, GAAP vs. Non-GAAP treatment, non-recurring / one-time items, etc.
Building various financial models including : fully integrated 3-statement models, P&L, balance sheet, and cash flow statements as the need arises to be able to perform various financial analyses including DCF, Accretion / Dilution, ROIC, CF analysis, financing models including debt repayment timeline, etc.
Finance skills combined with ability to make judgements with partial information about targets / investments
Public and private M&A markets, VC markets and valuation and how companies are trading, what are the comps, trading and transaction comparables analysis
Investment / portfolio theory to be able to assess cost of capital, risk of assets / cash flows
Estimating synergies and their impact on financial models, valuation, PF analysis, Accretion / Dilution, and ROIC
Tax treatment of transactions, NOLs, how to take tax issues into account in valuation / other financial analyses
Legal aspects of definitive agreements negotiations business terms
Prior investment banking or private equity experience, a big plus
