We are seeking an attorney with strong transactional experience to work closely with sales staff, marketing teams and other business groups within Cision on contract matters.Essential Functions : Drafting and negotiating commercial contracts for various business units including NDAs, MSAs, technology agreements, partnership agreements and vendor contractsProviding legal support on transactional, corporate governance and compliance activitiesProviding support and day-to-day legal advice to Cision’s various business units including IT and international entitiesAdvising on various other commercial initiatives within Cision which may include compliance activities and policiesReview key RFPs and proposal responses for legal complianceCoordinate training and awareness activities for Sales related to business issues and standard counterargumentsResearching and analyzing various legal issuesPerform other duties as requiredQualifications : JD degree from an ABA accredited institution and active Bar membership5 years of legal experience, preferably with 3-5 years software and services contract drafting and negotiation experience in the technology fieldFamiliarity with legal / licensing concepts such as intellectual property, limitations of liability, indemnification, etc.Familiarity with technology and / or software-as-a-service (SaaS) licensing a plusExcellent written and verbal communication skillsComputer skills, especially Microsoft OfficeAbility to prioritize and work under tight deadlines in a service-oriented and sales-driven environmentStrong interpersonal skills, and ability to interact effectively and work diplomatically with individuals at all levels within the organizationOrganized, efficient and able to handle multiple tasks with ease and professionalismWillingness to master new and unfamiliar areas of practiceCertificates, Licenses & Registration : Required : JD degree from an ABA accredited institution and active Bar membershipPreferred but not required : Notary publicCision is committed to fostering an inclusive environment where all employees can be their authentic selves and perform at their best.
