Job Description Summary
Role supports Energy Financial Services (EFS) on commercial transactions. Primary focus on energy project finance, tax equity transactions, early-stage development & bridge loan structures. Exposure on selected transactions involving capital markets advice & structuring on selected functional, project, programs, and strategic issues. Provide advice, counsel, structuring, negotiation and drafting on sophisticated transactions in the energy field.
Essential Responsibilities
- 10 proven years of experience in relevant areas based on experience at a large law firm, financial services firm or large corporate legal department.
- Energy industry experience with project finance debt and equity documentation, project transactional documents, as well as joint venture transactions including MOUs, JDAs and SHAs.
- Demonstrated excellent verbal and written communication and negotiation skills.
- Ability to manage multiple transactions and portfolio matters within a high-paced environment, and to prioritize conflicting demands from large and diverse client base.
- Ability to function independently and effectively as a member of business teams in addition to the assigned legal organization.
- Assume a major role in structuring, negotiating, documenting, and supervising outside counsel on transactions within assigned specialty areas.
- Evaluate situations using multiple sources of information; responsible for advising business segments on legal issues related to commercial transactions (which may include advice regarding origination, development, due diligence, investment, asset / account management, portfolio administration, disputes, workouts / restructurings and realization).
- Assist managers in both market and product development as well as policy compliance.
