The Paralegal will play a critical role in RWC Lending’s transaction process, ensuring smooth and efficient closings. The role requires strong organizational, analytical, and communication skills, as well as the ability to manage multiple transactions simultaneously. Must be eager to leverage technology and embrace new tools to enhance efficiency. Technology is at the forefront of our processes.
Core Responsibilities
- Transactional Support: Work on streamlined, repeatable, tech-driven processes for transactions.
- Title & Zoning Analysis: Review, analyze, and prepare memos on title insurance commitments, exceptions, endorsements, policies, surveys, legal descriptions, and zoning regulations. Will use technology to perform this work.
- Document Preparation & Review: Draft and review ancillary real estate transaction documents, including escrow instructions, deeds, easements, owner’s affidavits, and closing certificates.
- Legal Document Accuracy: Proofread legal documents to ensure precision and consistency.
- Due Diligence: Conduct research on loans and properties, including zoning searches, borrower background checks, and lease reviews. Coordinate third-party vendors such as appraisers, inspectors, and insurance consultants.
- Pipeline Management: Track and manage multiple deals efficiently, ensuring all timelines and compliance requirements are met.
- Closing Coordination: Oversee the closing process from loan approval through post-closing documentation, including document preparation, review, and coordination with all parties.
- Document Generation: Utilize RWC software to generate templated legal documents and assist in reviewing borrower comments.
- Post-Closing Management: Prepare closing binders, maintain checklists, and track post-closing deliverables.
- Internal & External Coordination: Work directly with outside counsel, borrower’s counsel, third-party vendors, and in-house teams to ensure seamless transactions. Will work closely internally with transaction coordinator, senior analysts, and general counsel.
Qualifications
- 3 years of experience handling commercial real estate debt transactions
- Extensive experience managing CRE loans, including NY CEMA transactions, title endorsements, and closing coordination
- Strong background in loan documentation, title, and survey review
- Undergraduate degree from a reputable institution with strong academic performance
