Education: Juris Doctorate (JD)
License: Active bar membership in good standing in Illinois
Minimum Experience: 5 years mid-level or large law firm, or large company in-house

What You’ll Do

- Review and negotiate complex transactional documents (foreign and domestic), including NDAs, IOIs and LOIs, asset or equity purchase agreements, restrictive covenant agreements, securities filings, joint venture agreements, debt and equity financing documents, and other ancillary documents.
- Coordinate with legal counsel and other specialists such as M&A and securities counsel, tax attorneys, antitrust lawyers, employment law specialists, accountants, investment bankers, and insurance brokers.
- Review documents, transactions, and submissions for compliance with applicable laws and regulations, including antitrust, securities, CFIUS, and foreign investment.
- Provide legal and compliance analysis and guidance to leadership.
- Complete various special projects, as requested.
- Ability to work under pressure to meet deadlines.
- Must be able to manage a multitude of projects simultaneously and exercise independent judgment in solving complex problems.
- Ability to prepare and effectively present comprehensive reports and recommendations.
- Excellent judgment and discretion, especially regarding confidential and sensitive matters.
- Strong research and analysis skills.
- Proficient in Microsoft Word, Excel, Outlook, and PowerPoint.
