The Vice President, General Counsel will oversee all legal matters and provide strategic guidance on corporate governance, compliance, risk management, and regulatory affairs. This role requires a seasoned attorney with significant experience in a top-tier law firm. The ideal candidate is a true generalist able to oversee legal matters of the business, including acting as the business’ legal representative, helping manage internal risk, and formulating legal and other initiatives to reduce risk.This is a remote role.Key Responsibilities : Provide legal advice and strategic counsel to the executive team and board of directors, through the Board Chairman, on corporate governance, securities law compliance, and risk management.Provide legal advice and strategic thinking that supports the long-term goals and objectives of the organization.Ensure compliance with federal and state regulations, including SEC reporting, Sarbanes-Oxley Act compliance, and state-specific corporate governance laws.Develop and implement company policies to ensure legal and regulatory compliance across all business units.Ensure compliance with data privacy and cybersecurity regulations, including CCPA and other relevant state and federal privacy laws.Oversee and manage all corporate transactions, including M&A, financings, joint ventures, and commercial agreements.Manage litigation strategy and work with outside counsel on litigation and dispute resolution matters.Oversee intellectual property matters, including trademarks, patents, licensing, and trade secrets.Manage relationships with outside counsel and control legal spending effectively.Provide training and guidance to internal stakeholders on legal risks, policies, and best practices.Qualifications & Experience : J.D. degree from a top-tier law school.Ability to practice in California as in-house counsel.12 years of legal experience, including time at a nationally recognized law firm.Extensive knowledge of corporate governance, securities laws, regulatory compliance, and general corporate legal matters.Strong transactional experience, including commercial agreements.Experience advising executives and boards on strategic legal matters.Excellent leadership, communication, and negotiation skills.Ability to work independently and manage multiple priorities in a fast-paced environment.Preferred Qualifications : Experience in highly regulated industries.Knowledge of emerging legal issues, including cybersecurity, and data privacy.CorVel is an Equal Opportunity Employer, drug-free workplace, and complies with ADA regulations as applicable.#J-18808-Ljbffr
