Position Summary
The Director of Risk and Compliance will plan, direct, coordinate, and oversee risk and compliance activities for CoServ Electric, CoServ Gas, and affiliates. This role is accountable for ensuring that all areas of responsibility are managed in a manner consistent with the company’s vision, strategic initiatives and applicable rules, regulations, and policies.
Primary Position Responsibilities
- Responsible for the implementation and oversight of a comprehensive compliance strategy that aligns with CoServ’s objectives, regulatory requirements (ERCOT, PUC, TRRC, OSHA, PHMSA, TexasRE, TCEQ Environmental, etc.), and industry best practices.
- Responsible for the development, implementation, and monitoring of a comprehensive risk management framework that identifies, measures, and analyzes potential risks for the organization.
- Develops and manages CoServ’s enterprise risk management program.
- Conduct compliance audits and assessments to identify compliance gaps, areas of risk, and develop corrective action plans.
- Investigate and report compliance issues and breaches.
- Prepare and present reports for the executive team and compliance committee.
- Maintain knowledge of laws and regulatory compliance trends and changes.
- Oversees CoServ’s property, casualty and liability insurance programs.
- Monitors compliance with CoServ’s existing risk management policies, such as the Energy Risk Management policy, and develops new policies as needed.
- Coordinates with other departments to maintain an inventory of all regulatory reporting requirements, and follows up with departments to ensure that requirements are met.
- Works closely with CoServ’s legal counsel.
Other Responsibilities
- Provides leadership and guidance to teams under their leadership, fostering a culture of innovation, collaboration, and excellence.
- Attend board meetings and make presentations when necessary.
- Participates in industry related organizations and committees as necessary to fulfill or enhance their job responsibilities and skills.
- Complies with established CoServ safety and operating rules, procedures, and guidelines. Responsible for reporting unsafe practices to a supervisor.
- Complies with established CoServ Information Security Handbook, procedures, and guidelines. Responsible for reporting suspected information security incidents to Tech Support.
Secondary Position Responsibilities
- Serves on various internal committees as appointed.
- Reviews and approves all budgets for assigned departments.
- Receives training as directed by the CFO.
Supervisory Responsibilities
- Direct reports with responsibilities for assigned duties.
- Recruits, interviews, hires and trains management-level staff.
- Provides constructive and timely performance evaluations.
Position Requirements
Experience, Education and Certifications Required
- Four-year degree from an accredited college or university.
- Ten (10) years in a legal, compliance, or risk role in the electric distribution and/or gas distribution industry or similar industries, with at least five (5) years in a leadership role.
Experience, Education and Certifications Preferred
- Certified Risk Manager.
- North American Electric Reliability Corporation Critical Infrastructure Protection.

- Must have the ability to exercise critical thinking skill sets that include the ability to articulate issues, analyze data, develop options, and provide recommendations.
- Must exercise leadership and maintain good working relationships with the board, executive leadership, other departments, and staff. Must effectively manage priorities in complex and diverse operational units.
- Must perform short and long-range budget, financial and operational planning.
- Must facilitate change in a productive and positive manner, foster teamwork and establish consensus, and effectively represent CoServ in the community.
- Must be able to communicate effectively orally and in writing and understand information presented either orally or in writing.
Skills and Abilities Preferred
- Human resource management skills.
Physical Requirements
- Indoor, office environment.
- Operates office equipment such as a computer, telephone, fax machine, copier, etc.
- Ability to lift a minimum of 50 pounds.
- Ability to drive occasionally.
- Ability to sit for extended periods of time.
- Requires frequent sitting, standing, walking, bending, and reaching.
- Works extended hours as needed.
