Responsible for providing advice and opinions on all legal issues arising in the conduct of the affairs of the company. Directs the conduct of all proceedings involving the company or any of its officers or employees acting in their official or corporate capacity, including litigation and administrative proceedings and arbitration. Prepares or reviews and approves as to legal form, content, and sufficiency, all documents of legal nature to which the company may be a party or which otherwise affect its legal rights or obligations. Works with other internal members, the Japanese parent company, and other affiliate companies related to various compliance issues. Retains and manages outside counsel related to litigation matters, as required. Works with HR, management, and external legal counsel to address complex employment issues and support company initiatives. Collaborates with HR to develop, review, and update employee handbooks, policies, and procedures to ensure they are legally compliant and aligned with company goals. Manages the company’s current leases and subleases and negotiates, drafts, and revises extended or new lease or sublease agreements. Helps to ensure company policies and practices comply with federal, state, and local employment laws and regulations. Stays current on changes in employment law and advises on necessary updates to policies and procedures. Manages and resolves employment-related disputes, including conducting investigations and representing the company and / or our clients in employment-related litigation or administrative proceedings (e.g., EEOC or OSHA). Also manages external employment litigation counsel. Serves as Secretary to the Board of Directors and maintains custody of the company seal, deeds, and books. Secretarial duties include preparing documentation for, arranging, and minuting Board and Shareholder Meetings. Manages the company’s Sr. Corporate Counsel and HR.Skills RequiredB.A. / B.S. degree, Juris Doctorate degree, and California state attorney's license. 10 years of experience in a law firm or corporate legal environment in an employment or business law setting.
