You have the experience, leadership acumen and credibility to inspire confidence from attorneys on the team, colleagues across the business, members of the board of directors, investors and outside advisors, all with an approachable, friendly and patient demeanor. You have significant corporate and transactional experience – ideally, at a Big Law firm doing M&A work as well as in-house, totaling at least 6 years of experience in corporate and transactional legal matters. You have excellent business communication and analytical skills, as well as an impeccable attention to detail and strong sense of ownership and accountability. You possess a strong desire to learn the business and have a natural ease in working cross-functionally as a practical-minded legal partner to business teams.
KEY RESPONSIBILITIES
- Provide global advice and support on a wide range of corporate matters, acquisition transactions and integrations, and entity management and governance.
- Draft, review, negotiate and finalize proposals and documents for corporate transactions, including letters of intent, equity and asset purchase and merger agreements; organizational documents and policies; investor, shareholder, partnership and operating agreements; other governance and investment documents for corporate, partnership and limited liability company entities.
- Provide global advice and support on commercial matters and counsel to internal EP departments and senior management on day-to-day commercial agreements, including technology licensing, professional services and consulting agreements.
- Advise various EP departments (including Finance, Treasury, Technology, and Marketing and Sales) regarding contractual obligations and restrictions in various commercial agreements. Address concerns and propose solutions while balancing legal considerations with business objectives.
- Analyze and assess potential risks and propose recommended courses of action.
- Respond to requests for information and / or advice from executives and other business departments regarding EP's legal position.
- Mentor contract administrators on the team, providing support and guidance on work matters.
- Provide feedback and training on work product and support professional development by delegating matters of increasing responsibility and complexity.
- Work with outside counsel and other advisors in all EP markets.
- Engage with outside counsel to negotiate budgets and fee arrangements for projects; manage budgets and legal spend; coordinate the type and scope of matters to be performed by outside counsel, with the goal of managing as much work as possible in-house.
- Provide advice on and structure / draft corporate transactions and commercial agreements in international jurisdictions.
- Manage significant compliance projects across EP's international offices.
- Perform other duties as assigned on other corporate, transactional or commercial legal matters.

The salary range for this position is $140,700 - 225,000 a year and will be commensurate with experience related to the position.
