Position Summary: Performs all necessary research to plan, direct, organize, develop, implement, train, and facilitate activities related to the creation and maintenance of CEMC and Cumberland Connect corporate governance, privacy and data initiatives, and procurement compliance. Develops and performs activities related to special projects, digital process creation and facilitation, and assists with various other areas of compliance.
Required: Doctorate of Jurisprudence
Preferred: Licensure to practice law in the State of Tennessee. Studies concentrated in Corporate Governance, Business Law or Administration.
Essential Duties and Responsibilities:
1. Observes CEMC safety rules, procedures, safety policies, and bulletins.
2. Maintains confidentiality of all records and information.
3. Works with applicable personnel to develop and implement update schedules for CEMC and Cumberland Connect policies, bulletins, and by-laws while identifying and incorporating proper metrics and ensuring legal compliance.
4. Develops and implements all necessary governance and activities to ensure compliance with applicable procurement rules and regulations while monitoring and facilitating proper procurement practices.
5. Develops and implements all necessary governance and activities to ensure compliance with applicable privacy and data rules and regulations while monitoring and facilitating corporate privacy and data principals.
6. Research and acquire resources to develop and facilitate digital processes of various programs and initiatives of the Contracts and Compliance Department.
7. Performs requested legal research related to various business ventures and provide implementation and administrative assistance on special projects.
8. Assists Compliance Supervisor as needed with multiple existing programs and projects falling within the purview of the Contracts and Compliance Department.
9. Serves as a back - up to Compliance Supervisor and is to be proficient with all applicable software and familiar with and proficient in all aspects of department obligations.

Software Used:
Microsoft Office 365 suite, NISC suite (ABS/CIS/DocVault and cloud applications), DocuSign, and any other software implemented in relation to the job duties.
Education Degrees, Certificates, Licenses, and/or Training: Exceptional favorable experience may be considered for a portion of the education requirements.
Required: Doctorate of Jurisprudence and valid Tennessee Driver's License.
Preferred: Licensure to practice law in the State of Tennessee. Studies concentrated in Corporate Governance, Business Law or Administration.
Required: Minimum of one year experience in regulatory compliance / legal management / legal compliance / process management, or similar related experience, preferably in the utility, broadband services, or telecommunications industry.
Ability to acquire working knowledge of applicable software and equipment, to include business practices associated with software.
Ability to communicate, both verbally and in writing, in a helpful and positive manner and maintain a professional working relationship with all Cooperative employees.
Ability to organize and prioritize work, manage time effectively, and work independently in a team environment.
Ability to acquire working knowledge of human resource practices and procedures and labor relations.
Ability to acquire working knowledge of accounting and finance practices and procedures.
Ability to acquire working knowledge of applicable software and reporting functions.
Ability to handle highly confidential information with the utmost judgment and discretion.
Ability to recognize problem areas quickly and resolve them with least possible delay.
Ability to make decisions in the best interest of CEMC and Cumberland Connect regardless of the circumstances.
Ability to make calculations and analyses and develop and implement policies and programs independently.

Ability to work with staff members at all levels, to include ability to speak, make presentations, and train personnel.
Preferred: Advanced knowledge and/or experience in developing digital processes and workflows in conjunction with oversight of corporate governance.
Advanced knowledge in business law and proven record of legal research coupled with application of law to fact.

Working Conditions:
Minimum of eight hours a day, five days a week.
Erratic working hours and pressure to meet various deadlines.
Almost constantly works within the CEMC Headquarters Office, to include frequent use of a computer with frequent interruptions and interactions with employees and public.
Occasionally drives to various work sites, usually within CEMC service area.
Occasionally travels to meetings, to include overnight, outside of CEMC service area.
