Key Responsibilities
- Negotiate Customer MSAs: Lead the negotiation, drafting, and review of Master Service Agreements (MSAs) with customers, ensuring compliance with company policies and legal requirements while protecting the company's interests.
- Maintain Company Contract Templates: Maintain and update all company corporate contract templates including MSA, NDA, BAA, independent contractor, restrictive covenant, and others.
- Review Vendor Agreements: Review, draft, and negotiate vendor agreements, ensuring that terms align with company goals and legal obligations.
- Manage Ad Hoc Legal Projects: Take ownership of and manage various ad hoc legal projects, collaborating with internal stakeholders and external parties to achieve successful outcomes.
- Manage Customer Contract Disputes: Act as the primary point of contact for managing and resolving customer contract disputes, working closely with internal teams, external counsel, and customers to reach timely and effective resolutions.
- Employee Legal Matters: Provide legal guidance on employee-related issues, including employment contracts, employee disputes, terminations, and compliance with labor laws.
- Manage External Law Firms: Manage relationships with external law firms, ensuring that outside counsel provides timely, cost-effective, and quality legal services in line with the company's needs.
- Collaborate on Corporate Policies: Collaborate on corporate policies, including the employee handbook, remote work policies, and other workplace regulations. Ensure that policies are regulatorily up-to-date, compliant with applicable laws, and effectively communicated to all employees.
Qualifications:
- Education: Juris Doctor (JD) degree from an accredited law school.
- Experience: 3-7 years of experience as a corporate attorney, ideally within a corporate in-house legal department or law firm specializing in corporate law.
- Skills:
- Strong contract negotiation and drafting skills.
- Experience with employment law, vendor agreements, and corporate governance.
- Excellent written and verbal communication skills.
- Strong analytical and problem-solving skills.
- Ability to manage multiple projects and prioritize effectively.
- Experience managing external law firms and vendors.
- Certifications: Must be a licensed attorney in Maryland.
- Experience in the technology or cyber security sector.
- Familiarity with data privacy and security regulations.
- Experience in handling corporate compliance and regulatory matters.
