Job Overview
We are seeking a dedicated and detail-oriented Legal Assistant to support our legal team in a fast-paced environment. The ideal candidate will possess strong organizational skills and a solid understanding of legal procedures, particularly in business law. This role is essential for ensuring the smooth operation of our office and assisting attorneys with various tasks related to case management and litigation.
Responsibilities
- Assist attorneys in preparing legal documents, including contracts, agreements, corporate filings, and other business law-related documents.
- Perform legal research on various business law matters, including regulatory compliance, corporate governance, and intellectual property.
- Manage and organize case files, ensuring all relevant documents are accurately maintained and easily accessible.
- Draft, proofread, and revise correspondence, reports, and other legal documents.
- Coordinate with clients, courts, and third-party vendors to gather information and ensure timely submission of required documentation.
- Assist in the preparation of filing of corporate formation documents, including articles of incorporation, operating agreements, and partnership agreements.
- Support attorneys in mergers and acquisitions, including due diligence and document preparation.
- Maintain and update corporate records, including board minutes, resolutions, and shareholder agreements.
- Provide general administrative support, including scheduling meetings, managing calendars, and handling client communications.
Qualifications
- Experience with litigation support in business-related cases.
- Familiarity with state and federal filing systems, corporate filings, and SEC compliance.
- Knowledge of contract management software or legal document management tools.
- Strong clerical skills including typing, filing, and document preparation.
- Excellent project management abilities to handle multiple cases simultaneously while meeting deadlines.
- Ability to work collaboratively within a team while also being self-motivated to complete tasks independently.
- Strong attention to detail with excellent organizational skills.
- Knowledge of litigation processes is beneficial.
