Job Description:
Position Summary:
The Senior Legal Counsel, Development will provide legal guidance and advice for the Company, with a special focus on its renewables project development activities. In this position, the Senior Legal Counsel, Development will provide legal counsel to the Company's development, land use, procurement and technical services teams, and regulatory specialists on various commercial issues relevant to the Company's development business, including real estate procurement, interconnection matters, equipment supply and construction, tax equity planning, permitting, and other matter related to development. The Senior Legal Counsel, Development will also work closely with external local counsel in the various states where activities are ongoing to ensure compliance with local legal requirements and processes.This is a remote position and will report to a Company Deputy General Counsel.
Responsibilities:
Lead legal support of development projects from a legal, risk, value or policy perspective.
Provide and manage legal support on major transactions relating to project development and construction, including energy sales transactions, large equipment and contractor procurement, construction financings, tax equity transactions and M&A activities concerning projects in development.
Provide quality, timely legal advice to the development and technical services teams for day-to-day matters and major ongoing projects.
Oversee the drafting of legal documents relevant to pre-operations renewables projects, such as power sales agreements, construction and equipment supply agreements, real estate agreements, and corporate entity formation and governance documents, and lead related negotiations.
Work to establish professional relationships with key stakeholders within and outside the Company related to areas of subject matter expertise.
Manage outside counsel to maximize efficiency, including local specialists.
Lead and/or serve on committees, special projects or other assignments as directed to further departmental goals.
Assist in developing and implementing company legal policies, processes, and standards.
Required Qualifications:
Bachelor's Degree
Doctor of Jurisprudence degree (JD) from an accredited law school
Minimum of 3 years of experience practicing law
Licensed to practice law in North Carolina or Licensed to practice in any state in the US and eligible for comity in North Carolina
