Direct Counsel is seeking a mid-to-senior-level Capital Markets Associate to join a top Am Law 50 firm in its highly regarded Capital Markets practice. This position offers the opportunity to advise public companies on complex corporate governance, reporting, and compliance matters, as well as capital markets transactions.
Key Responsibilities:
- Corporate Governance & Compliance – Advise public companies on SEC and stock exchange reporting, disclosure obligations, and governance best practices.
- Capital Markets Transactions – Represent issuers and underwriters in IPOs, follow-on offerings, and other securities transactions.
- Client Management – Handle the day-to-day needs of clients with sophisticated legal and business requirements.
Qualifications:
- 5 years of capital markets experience at a national or international law firm.
- Strong understanding of corporate governance and SEC compliance matters.
- Proven ability to manage client relationships and complex workflows.
- Excellent academic credentials from a nationally recognized law school.
