Responsibilities
The Corporate Associate will:
- Draft and negotiate venture capital investment agreements, including NVCA standard forms.
- Lead negotiations on essential terms of venture capital investment agreements.
- Supervise, train, and mentor associates on all aspects of venture capital financing.
- Advise emerging companies on operational matters, including board and stockholder communications, approvals, and equity awards.
- Collaborate effectively within a team environment, with an in-office presence approximately 60% of the time, in line with firm guidelines.
Qualifications
- JD or LLM from an ABA-accredited law school.
- Admission (or eligibility for admission) in New York or Massachusetts.
- At least 4 years of experience in venture capital and emerging company practice.
- Proficiency in Excel and capitalization table management.
- Strong written and oral communication skills.
- Professional and client-focused demeanor.
- Excellent organizational skills, with the ability to prioritize tasks and manage deadlines.
- Ability to work collaboratively in a team setting.

Compensation
The salary range for this role is $310,000 to $365,000, and the position is bonus eligible. The firm offers a comprehensive benefits package.
