Job Description:
A prestigious AmLaw 100 firm is seeking a highly motivated Corporate Transactions Associate Attorney to join their San Francisco office. This is an exciting opportunity to work with a dynamic team on complex and high-profile corporate matters. The associate will play a key role in advising clients on mergers & acquisitions, private equity transactions, and other corporate transactional matters.
Responsibilities:
- Draft, review, and negotiate transaction documents including purchase agreements, shareholder agreements, and related corporate documents
- Provide legal counsel on mergers & acquisitions, private equity investments, and general corporate matters
- Collaborate with clients and internal teams to structure, negotiate, and execute transactions
- Conduct due diligence and oversee closings
- Research and analyze legal issues related to corporate transactions
- Ensure compliance with applicable laws and regulations
Qualifications:
- 3-5 years of corporate transactional experience with a primary focus on Mergers & Acquisitions and Private Equity
- Strong academic credentials from a top-tier law school
- Excellent analytical, drafting, and communication skills
- Ability to manage multiple projects and deadlines effectively
- Admission to the California Bar (required)
