Direct Counsel is seeking a Counsel-level Finance Attorney to join a top-ranked firm’s Finance & Restructuring Practice Group. This role is available in multiple U.S. offices and offers the opportunity to represent financial institutions and corporate trust clients in sophisticated finance transactions.
Open to Multiple Locations: Chicago, Dallas, Denver, Des Moines, Florham Park, Fort Wayne, Indianapolis, Los Angeles, Minneapolis, New York City, Philadelphia, Princeton, San Francisco, Washington, D.C., and Wilmington.
Key Responsibilities:
- Represent financial institutions and corporate trust clients in structured finance (RMBS, CMBS, ABS), municipal debt, and corporate debt transactions.
- Review, negotiate, and draft a variety of agreements, including trust indentures, loan agreements, account control agreements, agency and custodial agreements, servicing agreements, SaaS and software licenses, and third-party vendor agreements.
- Manage multiple transactions with minimal supervision while providing strategic legal guidance.
- Lead and mentor junior attorneys and paralegals within the practice.
Qualifications:
- Experience: At least 7 years of transactional experience in finance, corporate trust, or restructuring.
- Expertise: Strong background in structured finance, debt issuances, and corporate trust transactions.
- Skills: Excellent writing, negotiation, and client management skills.
- Education: Outstanding academic credentials from an accredited law school.
- Bar Admission: Must be licensed to practice law.
Compensation & Benefits:
- Salary range: $250,000 – $420,000.
