The Legal Department provides core legal support to all Dolby functions, runs several IP-centric businesses, and leads government relations.
Dolby is seeking a corporate attorney to support a wide range of corporate, securities, M&A, and corporate governance activities. The Corporate Counsel will be exposed to a variety of legal and business matters.
Role and Responsibilities :
- Lead and manage Dolby’s strategic investments in other entities and M&A transactions from letter of intent to closing, and support the integration of acquired entities.
- Work collaboratively with the finance, people, real estate, stock administration, and other cross-functional teams on a variety of matters.
- Assist with the company’s NYSE submissions and SEC filings, including 10-Ks, 10-Qs, risk factors, 8-Ks, proxy statements, and Section 16 reporting.
- Support the preparation of board and committee meeting materials and minutes and provide general board and committee support.
- Provide practical, actionable advice and strategic support to executives and employees on a variety of corporate and securities matters.
- Advise on investor relations and corporate communications matters, including review of earnings announcements, earnings scripts, press releases, investor presentations, investor communications, public announcements, internal communications, and other materials.
- Manage and oversee the governance and administration of global corporate subsidiaries.
- Monitor, track, and advise on potential impacts of new and proposed corporate and securities laws to ensure continued compliance.
- Stay up-to-date on governance trends, general legal issues, and best practices, and recommend changes to Dolby’s programs or policies if advisable.
Qualifications / Skills :
The San Francisco / Bay Area base salary range for this full-time position is $184,000 - $253,000, which can vary if outside this location, plus bonus, benefits, and some roles may also include equity. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, competencies, experience, market demands, internal parity, and relevant education or training.
