The Group has an extensive track record spanning almost four decades across a wide range of commodities. Our teams have deep expertise in the mining, minerals and metals processing industries, as well as related non-process infrastructure such as, water, and energy solutions.
DRA covers all major mining centers with offices across Africa and the Middle East, North and South America, USA and Asia-Pacific.
We are seeking a Contracts Counsel, based out of our Phoenix office. The Contracts Counsel will be responsible for drafting, reviewing, negotiating, and managing a variety of contractual
agreements. Ensure that all contracts comply with applicable laws and regulations and align with the organization’s strategic objectives.
Responsibilities;
- Contract Drafting and Review: Draft, review, and negotiate contracts including vendor agreements, licensing agreements, NDA’s, service agreements, leases, purchase agreements, and other legal documents.
- Consultation: Provide legal advice and guidance to internal teams including business development, procurement, and clients on contract-related matters.
- Dispute Resolution: Assist in resolving contract-related disputes or issues.
- Risk Management: Identify and mitigate potential legal risks within contractual agreements.
- Negotiation: Negotiate contract terms with clients, vendors, and other parties ensuring favorable terms for the company.
- Compliance: Ensure all contracts comply with applicable laws, regulations, and company policies.
- Contract Management: Maintain organized records of executed contracts and related documents using contract management software and other company platforms.
- Research: Conduct legal research to support decision-making processes.
- Coordination: Coordinate with internal and external legal counsel as necessary.
- Training: Train sales and other departments on contract issues and negotiation strategies.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Active bar admission in the relevant jurisdiction
- 3 – 5 years of experience in contract law or related fields
- Strong analytical, negotiation, and communication skills
- Experience drafting, reviewing, and negotiating contracts required
- Strong understanding of corporate transactions, entities, structures and practice in a corporate/commercial legal environment
- Ability to manage multiple projects simultaneously in a deadline driven environment
- Ability to work independently, with advice from supervisor and other staff members
Physical Requirements:
- While performing duties of this job, you may be required to stand, sit in a stationary position 50% of the time, alternate between sitting and standing, push/pull as necessary, reach overhead or below shoulder level, kneel, squat, or stoop.
- May be required on occasion to lift and carry items such as files, documents, or small packages, typically up to 10 -20 pounds.
- Frequent use of hands and fingers to operate a computer keyboard and other office equipment.
- Close visual acuity to perform activities such as reading, analyzing data, and working on a computer.
