Driftwood Capital is seeking an attorney with 4-5 years of experience in a sophisticated corporate or real estate practice group at a law firm or a similar in-house role. The ideal Associate General Counsel for this position should have at least two years of experience in general corporate and/or real estate transactional matters. Experience and interest in equity and debt financing, as well as experience with limited partnership agreements and private equity fund structures is a plus. The Associate General Counsel will work directly with the General Counsel on a broad range of matters for a variety of private equity fund projects and other businesses of Driftwood Capital. The Associate General Counsel must possess the ability to work both independently and as part of a team. An ideal Associate General Counsel will demonstrate sound judgment both in prioritizing various projects and knowing when to “move forward” alone versus when to bring matters to the General Counsel.
Job Functions/Responsibilities:
- Work directly with the company’s General Counsel, Associate General Counsel, C-level executives, and outside legal and accounting advisors on legal matters.
- Manage transactions across various fund strategies, including the negotiation and drafting of corporate contracts, partnership agreements, purchase agreements and commercial agreements, as well as equity and debt capital market transaction documents.
- Fund management and structuring, including assisting with and preparing necessary documentation for capital calls, fund level lines of credit, co-GP/JV arrangements and tax efficient restructurings.
- Drafting and coordinating with outside securities counsel regarding securities and syndication materials (primarily Regulation D exempt offerings).
- Handling investor arrangements, including the preparation of curated letter agreements.
- Managing client and investor relationships.
- Actively participating in business development activities and client events.
- Undertaking project work as required, and undertaking any initiatives identified and designated from time to time by the General Counsel.
- Delegating to and supervising in-house law clerk and executive assistants as appropriate.
- Actively maintaining thorough and accurate books and records for all legal matters.
- Draft and maintain routine in-house legal documents for the company, such as simple leases/amendments, occupancy agreements, offer letters, management agreements, advisory agreements, and others.
- Supporting legal and general advisory needs associated with a large-scale real estate portfolio.
Requirements
- Juris Doctorate Degree
- Active bar membership
- Exceptional attention to detail and highest quality written communication skills
- Minimum of four years of experience with a sophisticated corporate or real estate practice group at a law firm or similar in-house role
- Strong analytical skills
- Ability to work on multiple projects and effectively prioritize
- Ability to work under pressure and meet deadlines
- Motivated self-starter and willing to drive projects independently, with the wisdom and judgment to understand what requires the General Counsel’s input and what does not
- Common sense and accountability are of the utmost importance
