What are the responsibilities and job description for the Corporate Paralegal position at Drury Development Corporation?
Daily tasks:
Maintain Corporate Records and Corporate Compliance:
- Draft agendas and minutes for annual and quarterly shareholder and board of director meetings
- Maintain stock registers and prepare all stock transfers
- Prepare and file annual compliance in over 20 states for multiple entities
- Docket deadlines and maintain electronic database summarizing corporate registrations and corporate structure
- Maintain partnership records and prepare all partnership transfers
Miscellaneous Corporate Issues:
- Prepare vehicle registrations and title applications
- Obtain and track business and professional licenses
- Obtain and track company bonds
- Assist in preparing for annual TDD/CID meetings and related issues/compliance
- Assist in Trust Agreement and related issues
- Facilitate legal department’s compliance with document retention policy
Commercial Litigation Management:
- Review and understand underlying legal documents (pleadings, discovery requests, etc.)
- Manage electronic service of process system for incoming legal filings
- Organize and maintain litigation case files; monitor and track litigation deadlines
- Work with internal clients to gather and organize documentation related to discovery requests
- Work with outside attorneys, paralegals, court personnel, insurance companies, etc. to complete all tasks ancillary to a matter
File Maintenance/Recordkeeping:
- Oversee the preparation and maintenance of legal files and corporate books and records
- Maintain electronic database tracking all corporate legal files, working files, and litigation files
- Track and upkeep various charts utilized by legal department for tracking purposes
Miscellaneous:
- Miscellaneous tasks as assigned by attorneys
- Assist with various requests from other company departments for legal related items
Qualifications: at least 3 years’ experience working as a paralegal in either a corporate legal department or law firm in one or more of the following areas:
Primary Areas: Corporate Governance and Compliance
Secondary Areas: Commercial Litigation, Trusts and Estates
Other: Strong understanding of technology in the workplace, Excel, Word, Outlook, Legisway or other electronic document management/tracking system.
