Fluke Health Solutions is searching for a proactive Associate Corporate Counsel with a commercial mindset, a desire to have a general portfolio of legal and compliance work, and an interest in navigating the complex intersection of law, compliance, and technology in the healthcare sector.The Associate Corporate Counsel will work across functions to provide advice on a wide range of topics in addition to having the opportunity to develop a more focused area of technology legal expertise. This is a demanding role for a team player who likes getting things done and having an impact. You will work directly with a variety of business stakeholders to support ambitious growth objectives while also championing a culture of compliance within Fluke Health Solutions.Responsibilities : Guide teams on issues related to SaaS and software business models and agreements, intellectual property license agreements, data rights, open-source software compliance, technology co-development agreements, and AI development.Collaborate with privacy counsel and the InfoSec team to assess data privacy and security issues associated with products and services to mitigate risks.Advise on technology regulatory issues, including changes to cybersecurity regulations and technology risk management guidelines, and draft security addendums, data protection agreements, SaaS and other technology and software agreements.Work with business and compliance teams to ensure the implementation and administration of the company’s Third-Party Business Integrity Program and Commercial Policy, among other policies, at FHS.Partner with the broader Advanced Healthcare Segment and Fortive Compliance teams to provide support on compliance issues as needed, including developing and implementing trainings and guidance materials on various legal, regulatory, and compliance topics in partnership with other team members.Work with contract managers and administrators to draft, review, negotiate, and advise on various commercial and procurement agreements, including but not limited to distribution, GPO, IDN, master service, master supply, research & development, consulting (including HCP engagements), co-marketing, and other agreements if and as needed.Review and advise on promotional materials, marketing initiatives, and co-marketing relationships.Work with Legal centers of expertise and shared services at the Segment and Fortive levels on legal issues that arise to effectively support the business and address other requests for legal support and advice as required and appropriate.Qualifications & Experience : Law degree and admission to practice law in at least one U.S. state required.3 years of professional work experience required.Strong contract drafting skills, especially SaaS, technology, and security provisions / agreements required.Ability to collaborate efficiently and effectively across legal and business functions in a manner that adds value, balances risk, and protects the company’s reputation.Ability to work in a fast-paced organization, manage and prioritize multiple issues and projects while being highly responsive.Healthcare compliance experience preferred.Direct work with Sales and Marketing professionals is a plus.Must be located in Chicago or United States EST.#J-18808-Ljbffr
