Job description
The Manager of Legal Affairs is responsible for managing all legal aspects of the company and the company’s affiliates. This role requires routine review and response to emails from attorneys, colleagues, customer representatives and government agencies. The Manager’s contribution to the company depends on their understanding / reading comprehension and knowledge, by which they effectively respond to the variety of correspondence and documents coming to their ‘desk’ each day. Contracts are a staple of the Manager, therefore, drafting, revising, and the negotiation of terms and conditions are a major part of the Manager’s work-load. The Manager also handles the intellectual property work, including company/affiliates’ trademarks, copyrights and patents. Litigation too occurs with periodic regularity and the Manager is responsible to handle the matters in-house or work with outside counsel to best defend the company’s best interests.
Key Responsibilities
Contracts:
· Review, draft, revise, and negotiate terms and conditions for a wide variety of contracts.
· Ensure compliance with company policies, applicable laws and regulations in all contractual documents.
· Collaborate with internal departments to understand contract requirements and mitigate risks.
Intellectual Property:
· Apply for trademarks, conduct trademark availability screenings, and maintain trademarks including filing renewals, responding to Office Actions with persuasive arguments; update and maintain the trademark spreadsheets.
· Conduct research on patent availability; review patent claims to assess risks of infringement; manage (renew) patents.
· Provide guidance for intellectual property questions (Copyrights, Trademarks, Patents) from internal stakeholders.
Litigation:
· Manager oversees the filing and conduct of lawsuits and their defense. The Manager works with outside counsel on case strategy, tactics, case budgets and negotiations, mediations and trials. This work requires the issuing of discovery requests and responding to propounded discovery. Participation in case video-conferences, mediations, and trials is periodically necessary.
Qualifications:
· Bachelor’s Degree and Paralegal Certificate from an accredited program with a minimum of 5 years full-time legal work experience.
· Excellent writing skills and reading comprehension.
· Strong analytical and problem-solving abilities.
· Competent and effective interpersonal communication skills.
· Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
· High ethical standards, integrity and professionalism.
Job Type: Full-time
Pay: $70,000.00 - $75,000.00 per year
