What are the responsibilities and job description for the General Counsel position at Easterseals MORC?
The General Counsel will manage the organization’s legal department. This position reports directly to the Chief Legal Officer and will oversee the contracts department, risk management, legal services, and outside counsel, and will also work closely with the corporate compliance department on investigations and matters that implicate risk management or legal exposure. This position will provide legal guidance on contracts, governance, employment matters, regulatory compliance, investigation, litigation and alternative dispute resolution, and employee interface with courts and agencies. This position will work closely with senior leadership and key external stakeholders.
- Ensure the organization complies with federal, state, and local laws applicable to health care providers, tax-exempt entities, employers, Medicaid and Medicare programs, and recipients of State and Federal grants.
- Oversee the Contracts Department in reviewing, drafting, and negotiating contracts, agreements, and memoranda of understanding.
- Provide guidance on health care laws, regulations, and public payor program requirements for healthcare providers, and act as the organization's HIPAA Privacy Officer.
- Assist the Chief Legal Officer in preparing board materials, drafting policies, and ensuring adherence to governance best practices.
- Provide legal guidance on employment-related matters, including policies, contracts, and compliance with labor laws.
- Identify potential legal risks and support the development of strategies to mitigate them.
- Assist in protecting the organization's intellectual property assets, including trademarks, copyrights, and other proprietary materials.
- Coordinate legal disputes, manage employee interface with courts and adjudicative bodies such as licensing boards, and collaborate with external counsel when necessary.
- Provide legal guidance regarding the organization's real estate interests and maintain compliance with laws affecting the tax-exempt status of its entities.
- Support the development and delivery of legal training to staff and leadership on applicable laws and organizational policies.
