What are the responsibilities and job description for the Corporate Paralegal position at Eastridge?

We are seeking a Corporate Paralegal for an international full-service law firm. This role will support attorneys on a wide range of transactional and governance matters, including mergers and acquisitions, corporate finance, private equity, securities, corporate maintenance, and venture capital financing.
Responsibilities:
- Draft and review organizational documents such as articles of incorporation, stock certificates, and merger agreements.
- Prepare contracts, including non-compete agreements.
- Create and distribute annual reports; prepare and file UCC financing statements.
- Assist with due diligence by preparing, reviewing, and commenting on documents.
- Maintain client minute books and stock ledgers.
- File documents with government agencies such as the SEC, IRS, and state Secretaries of State.
- Oversee the contract process, including planning, negotiation, and execution.
- File legal briefs and documents in courts within deadlines.
- Conduct legal research and assist internal departments and external vendors.
- Schedule and arrange meetings, conferences, and travel.
- Coordinate with the Finance Department on billing matters.
Qualifications:
- Education: High school diploma required; some higher education preferred.
- Experience: Minimum of 5 years as a paralegal in a transactional practice area.
- Strong understanding of corporate governance and transactional legal processes.
- Ability to handle confidential information with discretion.
- Excellent organizational and communication skills.
