Job Title: Associate – Aviation Finance

Salary Range: $300,000 - $360,000
Overview:
Our client, a leading law firm, is seeking a talented and highly motivated associate to join their Finance practice with a focus on aviation-related transactions. The firm’s aviation finance team works with a diverse group of clients, including major banks, private equity firms, leasing companies, airlines, investors, traders, and manufacturers. The role will involve managing a wide range of complex aviation transactions, such as financing (lending and capital markets), leasing, trading, restructuring, asset enforcement, and the creation of joint ventures and leasing platforms.
Key Responsibilities:
- Lead and manage large-scale financing transactions, including both secured and unsecured deals, as well as capital markets transactions, with a focus on those exceeding $100 million in value.
- Draft, review, and negotiate key legal documents, including credit agreements, indentures, leases, and purchase agreements.
- Provide expert legal advice on interpreting and navigating complex transactional documents.
- Work on various aviation finance and leasing matters, addressing corporate, tax, and insolvency issues specific to aviation transactions.
- Manage multiple matters simultaneously, collaborating effectively with both internal teams and external clients to ensure seamless execution.
Qualifications:
- Deep understanding of secured and unsecured financing, including a strong grasp of the Uniform Commercial Code (UCC) Article 9 and the Cape Town Convention.
- Ideal candidate should be a member of the Class of 2020-2022.
- Proven experience in managing and closing large-scale financing transactions, particularly those valued over $100 million.
- Demonstrated expertise in drafting, negotiating, and advising on credit agreements, leases, indentures, and other related legal documents.
- Solid knowledge of the aviation finance and leasing industry, along with an understanding of related corporate, tax, and insolvency issues.
- Experience in a fast-paced, large law firm environment, successfully handling complex matters and working with a diverse range of clients.
- Strong academic background with exceptional drafting, negotiation, and organizational skills.
- Ability to work independently and collaboratively in a dynamic, high-pressure environment.
- Must be admitted to practice law in New York.
