Location: The Legal Counsel - US position is remote and can be located anywhere in the US (East Coast preferred). Offices are available in Philadelphia, PA and Savannah, GA if desired. There will be approximately 10% travel to support business needs.
Your Role:
We are seeking a highly skilled U.S. Legal Counsel to join our team in a newly created role that upholds the highest legal and ethical standards. This position will provide legal guidance to business and functional teams across the Americas, supporting the acquisition of the Surface Solutions business by Global New Material International (GNMI). The U.S. Legal Counsel will report to the General Counsel based in Darmstadt, Germany and play a crucial role in ensuring compliance, mitigating risk, and driving strategic legal initiatives.
Key Responsibilities:
Oversee legal processes, services, and resources to align with company objectives and legal department priorities.
Develop a deep understanding of the business and industry to provide strategic legal counsel.
Ensure compliance with all relevant laws, regulations, and standards across international jurisdictions.
Provide expert legal guidance on contracts, litigation risks, business structures, labor laws, intellectual property, and regulatory matters.
Establish and implement legal policies and procedures to maintain compliance.
Support internal projects, training initiatives, and cross-functional collaboration.
Draft, review, and negotiate key contracts, including commercial agreements, vendor contracts, partnership agreements, and employment contracts.
Stay informed on legal trends, statutory changes, and judicial precedents to advise leadership on potential impacts.
Develop risk management strategies and proactively address potential legal challenges.
Serve as the primary legal contact for HR governance and policy matters in the Americas, ensuring compliance with global and local HR policies through outsourced HR providers.

An effective communicator and negotiator, capable of working cross-functionally in a global organization.
Minimum Qualifications:
- Juris Doctor (JD) degree with 5 years of experience.
- Experience with HR compliance, investigations, and collaboration with HR teams or relevant areas.
Preferred Qualifications:
- Experience in an internationally operating enterprise with general commercial knowledge, knowledge in patents/trademarks, tax, corporate or other relevant legal areas are a plus.
- Strong analytical and problem-solving skills.
- Knowledge of mergers & acquisitions.
- Excellent communication and interpersonal abilities in global environments.
- Proven ability to work collaboratively in a team environment and manage multiple priorities effectively.
- Hands-on mentality with the willingness to face the legal and business challenges of an agile global enterprise.
Pay Range for this position: $145,900 - $218,900
Our ranges are derived from several sources, and largely reliant on relevant industry market data. Should we decide to make an offer, we will consider several factors, including but not limited to your location, skills, experience, career level, and other job-related factors.
