Emerald Bay Risk Solutions (www.emeraldbayrisk.com) is a newly established Collaborative Underwriting Carrier. Started by established professionals with a proved track record and backed by Bain Capital, Emerald Bay has been built from the ground up as a robust, well-capitalized insurance carrier. We work with partners to write both E&S and admitted business via the program relationships we cultivate. Emerald Bay is seeking a motivated, practical and solution-oriented attorney primarily to review, draft and negotiate a variety of commercial insurance agreements and also to generally support the Legal & Compliance Department. The successful candidate will be a law graduate with 5 years of experience in insurance contract law with excellent technical skills.
Responsibilities:
Contracts Review
- Review and analyze Program Administrator Agreements on new and renewal programs
- Review and analyze TPA Claims agreements on new and renewal programs
- Review and analyze Quota Share and Excess of Loss Agreements on new and renewal programs
- Review or assist with review of other key agreements and documents in respect of the business, including NDAs, broker letters, policy wording, etc.
- Ensure General Counsel and Key Personnel are aware of all key provisions in documents
- File and track contracts and documents in Company systems
Corporate Governance
- Assist with arranging Board and Committee materials for parent and subsidiaries
- Assist with Board and Committee planning and logistics for parent and subsidiaries
- Assist with drafting company policies and procedures as needed
Compliance and Regulatory Relations
- Assist with completing questionnaires and forms as required by our business partners
- Assist with updating licenses, preparing regulatory reports and maintaining relationships with regulatory authorities
Other projects as required around program/company and legal operations
Requirements:
- Licensed Attorney from an accredited law school in good standing
- 5 years experience in contracting with (re)insurance focused contracts
- Knowledge of the (re)insurance business, preferably with respect to MGA/Program business with experience at a (re)insurance company, program carrier or law firm
- High ambition in combination with creativity and a strong sense for details
- Excellent relationship building and interpersonal skills with a collaborative attitude are essential
- An urge to learn new things and develop into new skills or areas of knowledge
