Job description:
We are currently looking for an experienced candidate to become a valuable member of Enfinity Global's Legal team to work directly with the General Counsel - Americas on our North America Renewable Energy Portfolio, including multi-state solar operating projects, development pipeline, as well as to-be-acquired portfolios of renewable energy assets.
The ideal candidate would have 5 years of experience including general corporate, M&A, project finance, and public company work. Must have experience reviewing, drafting, and negotiating contracts, and excellent knowledge and understanding of corporate law and procedures. Experience in the renewable energy industry is preferred.
The successful candidate will be one who can manage a keen attention to detail while always prioritizing the big picture – a candidate who thrives in a high-paced and demanding global environment, guided by a shared vision of success for the enterprise.
This role is well-suited for a highly organized, and self-motivated individual. Strong written and oral communication skills are required. Understanding solar facility design, operation, management, and financing would be beneficial.
Key responsibilities:
- Entity formation and management.
- Documentation of corporate actions, resolutions and consents.
- NDA review and approval.
- Drafting and negotiating various commercial contracts, such as letters of intent, vendor agreements, consulting agreements, and credit agreements.
- Communicating with and managing outside counsel.
- Lead in due diligence for acquisitions.
- Support investor due diligence and KYC requirements.
- Broad based responsibilities for transactional work including M&A, joint ventures, and related.
- Human resources support.
- Ability to establish priorities and meet all assigned deadlines related to the assigned responsibilities.
- Work cross functionally with other departments.
Qualifications & experience:
- Undergraduate and law degrees from leading institutions.
- 5 years of experience in law firms (corporate/m&A/financing).
- Member of the bar in good standing (Florida preferred).
- Advanced ability in MS Office.
- Passion for rigorous and fast-paced team-oriented work environment; high internal drive and strong work ethic; comfortable solving problems independently.
- Exceptional drafting and negotiation skills.
- Strong organizational skills and attention to detail.
- Excellent communication skills (verbal and written).
- Strong interpersonal skills driving professional and effective internal and external relationships.
