How You’ll Contribute:
As the Associate Counsel, Investments, you will play a critical role in managing transactional legal matters for our investments team. You will ensure compliance, support due diligence, and provide legal expertise to drive seamless investment operations. This position requires a collaborative professional who values precision and thrives in a dynamic, team-oriented environment.
What You’ll Do:

Transactional Support:
- Review due diligence materials, confidentiality agreements, term sheets, and transaction documents.
- Collaborate with internal stakeholders and external counsel to ensure successful transaction execution.
- Manage the transaction closing process, ensuring all deliverables and conditions are met

Investment Compliance:
- Monitor and report investment compliance to ensure adherence to the Investment Advisors Act.
- Conduct and document AML/KYC searches, addressing follow-up matters.
- Update investment policies and distribute relevant documents to stakeholders

Cross-Functional Collaboration & Support:
- Assist with audit confirmations, corporate minutes, and other documentation.
- Partner with departments like Internal Audit, Communications, and Legal & Compliance to fulfill investment-related requirements
What You’ll Bring:
Education:
- Bachelor’s Degree required
- Juris Doctor (JD) degree.
- Active license to practice law in any U.S. state.
Experience:
- Minimum 2 years of legal experience in investments, insurance, or asset management.
- Preferred experience in an AmLaw 200 firm or corporate legal department
Knowledge, Skills, and Abilities:
- Strong understanding of investment transactions, including debt, equity, and fund investments.
- Proficiency in AML/KYC processes and legal compliance standards.
- Advanced skills in Microsoft Office, especially Excel.
- Exceptional analytical, communication, and problem-solving skills.
- Ability to manage multiple priorities in a fast-paced environment while fostering collaboration and inclusivity

Compensation and Pay Philosophy:
The pay range for this role is $105,600.00-$145,200.00. This reflects the expected compensation for the position at the time of posting. The final offer will be based on factors such as the candidate’s experience, qualifications, geographic location, and internal equity, and may be higher or lower than the posted range.
