GENERAL JOB DESCRIPTION
The Corporate Counsel is a transformative team member who aids in the Law Department and delivers legal and business affairs services to the Company.
- Drafting, reviewing, and negotiating wide range of complex commercial contracts, including production, sponsorship, agency, consulting, talent, influencer, trademark and content licensing, vendor services, marketing and co-branded content, digital distribution, venue licenses, real estate leases, publicity consents, photo releases, non-disclosure, and confidentiality agreements
- Providing legal counsel to internal business units and company leadership on various advertising, marketing, intellectual property, social media, sweepstakes, privacy, and data laws, concerning such topics as fair use, music synchronization, FTC, consumer protection laws, and data privacy
- Providing legal counsel on human resources matters, drafting independent contractors and employment agreements
- Reviewing and advising on editorial content
- Developing the Company's policies on industry-specific issues, corporate governance, and regulatory affairs
- Crafting and reviewing legal strategy in response to litigation
- Tracking all Company contractual obligations, legal documents, and legal proceedings
- Coordinating fillings of licensing forms and other statutory requirements
- Communicating with outside counsel
What you have...
J.D. Degree
Must be a member of good standing of the New York or California Bar
Must have 3-5 years' experience working in-house counsel for a media or entertainment company
Strong academic credentials
SKILLS & ABILITIES
Knowledge of marketing-related business practices, including advertising, copyright, privacy, and technology
Proficient with Microsoft Office Suite (Word, Excel, PowerPoint)
Knowledge of Salesforce, Smartsheets and Pivot Tables a plus
Effective written and oral communication skills and adaptable communication style for interacting with team members, upper management, and clients
Quick study and self-starter
Time management and organization skills to handle negotiation and execution of multiple Company initiatives
Leadership skills to motivate team members and manage inter-departmental workflows
Analytical and problem-solving skills for creative solutions to complex problems
