Position SummaryThe Senior Director of Corporate Development will play a pivotal role in driving the company's growth and strategic initiatives. This key role will involve collaborating with cross-functional teams to identify, evaluate, and execute reinsurance, acquisitions, and other strategic opportunities that align with the company's objectives. Reporting to the Chief Development Officer, this role requires a deep understanding of financial modeling and knowledge of the life insurance and annuity industry, and strong strategic thinking to successfully execute key initiatives. In addition, effective engagement with senior leadership, boards of directors, private equity partners, and regulatory bodies will be crucial to achieving success in this role.

The ideal candidate will have exceptional business acumen and judgment enabling the ability to execute flawlessly while fostering transparency and accountability.

The Senior Director of Corporate Development must be an approachable and influential individual who gains trust and confidence quickly through consensus building and who can operate effectively within a dynamic and evolving organization. The successful candidate must be a strong leader who has the technical abilities and experience, business maturity, presence, and personal dynamics to have a positive impact on Everlake’s success while embracing a culture of continuous improvement.Key Responsibilities

  • Reinsurance Deal Execution : Lead and manage the execution of reinsurance deals, overseeing all aspects of the transaction life cycle, from initial sourcing to post-closing integration.
  • Strategic Planning : Work closely with the Chief Development Officer to develop and refine the company's corporate development strategy, encompassing organic growth, partnerships, and potential acquisitions, with a specific focus on reinsurance opportunities.
  • Opportunity Identification : Conduct market research and analysis to identify potential reinsurance opportunities that align with the company's risk management and growth objectives.
  • Due Diligence : Conduct comprehensive due diligence on potential reinsurance opportunities, evaluating liability details, risk exposure, and compatibility with the company's strategic goals.
  • Financial Analysis and Pricing : Develop detailed financial models and pricing strategies for reinsurance deals, ensuring alignment with the company's risk appetite and profitability targets.
  • Deal Structuring : Work with legal, finance, and other teams to structure reinsurance deals that optimize the company’s ability to manage risk and achieve strong financial outcomes.
  • Pre- and Post-Closing Integration : Collaborate with cross-functional teams to ensure deal readiness and seamless integration of reinsurance agreements, optimizing operational efficiencies and synergies.
  • Competitive Analysis : Monitor and analyze competitor activities and market dynamics in reinsurance and the direct market to inform corporate development strategies.
  • Executive Reporting : Provide regular updates and presentations to senior leadership on corporate development initiatives, progress, and performance, with a specific focus on reinsurance transactions.
  • Risk Assessment : Identify and assess potential risks associated with reinsurance deals, proposing risk mitigation strategies.
  • Regulatory Compliance : Ensure all reinsurance transactions comply with relevant regulatory requirements and industry standards.
  • Innovation and Research : Stay abreast of industry trends, innovations, and best practices in reinsurance and corporate development within the life insurance sector.
  • Ad Hoc Projects : Undertake special projects and assignments as directed by the Chief Development Officer.

Qualifications :

  • Bachelor's degree in Actuarial Science, Finance, or a related field. Advanced degree or professional qualification (e.g., ASA, FSA, CFA) preferred.
  • Minimum of 6 years of experience in corporate development, actuarial, life and annuity reinsurance, or a related role.
  • Experience leading and executing complex reinsurance or other strategic transactions, including sourcing, due diligence, pricing, negotiation, execution, and post-closing integration.
  • Exceptional judgment and attention to detail, ensuring accuracy in all analyses and recommendations for reinsurance transactions.
  • Excellent written and verbal communication and presentation skills, with the ability to collaborate, influence and negotiate at all levels of the organization.
  • Advanced project management and organizational skills, with a focus on meeting deadlines and objectives; ability to manage multiple simultaneous projects.
  • Proficiency in financial modeling software and Microsoft Office Suite.
  • Highest standards of professionalism, business ethics, and respect for other team members; commitment to maintaining confidentiality and compliance.
  • Commitment to developing and maintaining detailed transaction documentation.
  • Ability to travel and work flexible hours as needed to support unwavering commitment to completing tasks accurately and on deadline.
