What are the responsibilities and job description for the Corporate Counsel position at Evolv Technology?
Evolv is seeking an innovative and enthusiastic Corporate Counsel to join the Legal Team of a mission-driven company with an industry-disrupting technology.
This role will be essential in advising Evolv on a variety of interesting and complex legal matters and will have a broad range of responsibilities including providing legal guidance on go-to-market and strategic initiatives as well as handling the drafting, review, and negotiation of a variety of commercial agreements, identifying and assessing legal risks in contractual arrangements and proposing practical solutions to mitigate them, supporting compliance-related initiatives and leading trainings regarding the same, and other strategic legal projects. Your proactive, and solution-oriented approach will be valued as you effectively manage legal risks and foster strong relationships with internal stakeholders, while promoting a culture of innovation, continuous learning, and integrity.
What are performance outcomes over the first 6-12 months you will work toward completing?In the first 30 days, you will:
- Understand the organizational structure and responsibilities within Evolv.
- Develop an understanding of Evolv's products and services, including commercial contracting lifecycle, CLM tool, brand integrity program, product roadmap, and go-to-market strategy.
- Embrace Evolv's mission-driven culture of making the world a safer place to live, work, learn, and play.
Within 3 months, you will:
- Developed a deep understanding of Evolv's business strategies and contributed to the legal strategy designed to support these objectives.
- Cultivated strong relationships with internal and external business partners, including Evolv leadership, while working on corporate strategic initiatives such as deals with professional sports teams and other iconic venues.
- Drafted and negotiated contracts that accurately reflect business objectives and manage risks, including Service Agreements (with a focus on SaaS), supplier contracts, vendor contracts, technology contracts and partnership agreements.
- Reviewed marketing materials for compliance and consistency with Evolv's Brand Integrity Guidelines.
By the end of the first year, you will:
- Be seen as a trusted advisor who provides practical, business-oriented legal advice and strives to find creative solutions that will help the business grow while managing risk.
- Have helped to lead the development and roll out of cross-functional compliance initiatives tailored to the needs of the go-to-market organization.
- Collaborated with colleagues to build and scale innovative processes for streamlining commercial transactions.
- Led engaging and interactive compliance-related trainings for key stakeholders within the Company.
- Drafted, implemented, and operationalized key policies and processes designed to streamline the business while also ensuring compliance.
- Have participated in special projects that challenged you and provided the opportunity to learn new areas of the law.
- Draft and negotiate commercial contracts, identifying those aspects of an agreement or transaction that matter most to the business, and being proactive and pragmatic in addressing potential issues. Examples of agreements include strategic transactions and partner agreements, license agreements, supply chain and distributor agreements, SaaS and professional service agreements, data processing agreements, and vendor contracts.
- Assist in the development of legal resources such as policies, templates, playbooks, policies, and training materials.
- Monitor legal and regulatory developments that are relevant to Evolv's business, think ahead, see around corners, and help prepare for and minimize risks that may arise in the future.
- Depending on interest, career goals, and experience, may also assist on various other legal projects in different functions that will inevitably arise at a rapidly growing company.
You will be joining the Legal team and reporting directly to General Counsel.

While the preference is for this role to be hybrid and based out of HQ in Waltham, MA, Evolv will consider fully remote for the right US-based candidate.
The base salary range for this full-time position is $160,000-$200,000 bonus equity benefits. Our salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position across all US locations. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Your recruiter can share more about the specific salary range for your preferred location during the hiring process.

Qualifications and preferred experiences:
The successful candidate must have a J.D. degree with admission to, and in good standing with, at least one state bar. While we prefer someone with approximately 4-8 years of in-house legal experience, we welcome all candidates who believe they will be successful in this role.
