J OB S UMMARY
Exceed is seeking a highly skilled and detail-oriented Senior Paralegal to provide advanced legal support in corporate, transactional, and litigation matters. Reporting directly to the Chief Legal Officer, this role will involve managing legal tasks, conducting research, drafting legal documents, and ensuring compliance with company policies and regulatory requirements. The ideal candidate is proactive, organized, and able to handle complex legal matters with minimal supervision.
This is an in-person position.
J OB D UTIES
General Management of Legal Tasks
- Oversee and manage all legal tasks, projects, and deadlines for the legal department.
- Ensure compliance with legal procedures, company policies, and regulatory requirements. Litigation Support
- Manage pre-dispute and litigation matters, including pre-dispute communications, demands, and agreements.
- Handle document preservation and related communications, discovery, and e-discovery processes, including data collection, searches, and production.
- Format and prepare documents for litigation (i.e., OCRing, watermarking, and bates labeling documents).
- Assist with legal research and drafting memoranda.
Corporate / Transactional Support
Draft, revise, and review legal documents (using track changes), including but not limited to facility agreements, employment contracts, corporate governing documents, business contracts, job descriptions, and policies and procedures.Assist with corporate entity formation and filings and with maintaining governing and related documents, including :Searching Secretary of State records for the status of business entities and business filings;Filing business documents with the Secretary of State, State Comptroller, Internal Revenue Service, and other government entities;Drafting, reviewing, and revising governing documents;Preparing minutes, resolutions, and consents related to director and shareholder meetings.Organizing and managing books and records in physical and electronic files.Assist with potential business opportunities and transactions, including :Drafting non-disclosure agreements;Preparing for and organizing documents for responding to due diligence requestsManaging and reviewing documents received during due diligenceReviewing and revising transactional documents and exhibits.Compliance Support
Draft, revise, and review (using track changes) company policies ensuring alignment with legal and regulatory requirements.Research and cite appropriate legal authorities within company policies.Assist with internal audits by gathering and organizing necessary documents, and preparing audit reports and compliance logs.Review subpoenas or requests for medical records.Help maintain and update the organization's contract management database.Q UALIFICATIONS AND E XPERIENCE

Associate degreeParalegal certificationMinimum of 5 years of experience as a litigation paralegalKnowledge, Skills, and Abilities
Exceptional attention to detail, with a strong sense of ownership and dependability.Excellent writing skills, including clarity, grammar, punctuation, and spelling.Ability to proofread and identify errors in draft documents, such as undefined terms, contradictory provisions, formatting issues, and exhibit discrepancies.Proficiency with Microsoft Office (Word, Excel, PowerPoint), Adobe, and other legal software. For example :For Word : advanced formatting skills (i.e., headers, footers, footnotes).For Adobe : watermarking, bates labeling, redacting, and removing sensitive data.For Excel : sorting, filtering, and using basic formulas.Strong organizational skills with the ability to manage multiple projects and deadlines.Proactive problem-solving skills and willingness to ask questions and learn.Team-oriented mindset with a positive attitude and strong interpersonal skills.Professional demeanor, excellent communication skills, and a commitment to follow through on responsibilities.Exceed offers :
