PRIMARY PURPOSE OF POSITION
The Assistant General Counsel – Corporate Governance (AGC) will serve as an expert on corporate governance and securities laws and regulations and as a key member of Exelon's Office of Corporate Governance team within the Legal Department. The AGC will support senior company management and the company's and its affiliates' boards of directors with regard to corporate secretarial, securities compliance, and related functions, including complex, high-impact, and highly sensitive matters.
PRIMARY DUTIES AND ACCOUNTABILITIES
- Performs as a specialist in corporate governance and securities law, including providing technical and expert legal counsel to Exelon senior management. With minimal supervision, provides advice and services on federal securities law compliance and public company governance issues, including : drafting corporate governance documents, policies, board and committee materials; providing corporate secretarial support for public and controlled company board and committees; preparing and executing SEC filings; leading or assisting with annual shareholder meeting planning; organizing corporate governance outreach to investors; and providing securities and governance support on financing transactions.
- Provides lead direction and / or project leadership direction to less experienced attorneys and support staff; oversees outside counsel (including budget preparation and oversight); and assists in development and implementation of legal department policies and procedures as appropriate.
