Lead Counsel - Securities Law

Provides legal counsel and advice to the corporation and its subsidiaries to ensure their effective operation in accordance with federal, state and local Laws.Essential FunctionsProvides legal advice on securities, corporate governance, and corporate law matters, with a focus on securities law reporting, compliance, and stock exchange listing standards.Provides legal support in financing and capital markets transactions.Writes, reviews, and advises on legal contracts and agreements.Represents the organization in legal matters.Performs other duties as assigned.Minimum EducationJuris Doctorate Degree from an A.B.A. accredited law school and admission to the bar.Minimum ExperienceTwelve (12) years’ experience as an attorney with at least six (6) years’ experience in securities law compliance, with a strong background in Securities Exchange Act of 1934 reporting, corporate governance, and stock exchange listing standard compliance.Knowledge, Skills, and AbilitiesSuperior academic record.Strong research and analytical skills.Strong negotiation, human relations, oral and written communications skills.Ability to understand and resolve complex legal issues and respond quickly to clients and third parties.Excellent organizational and time management skills; strong initiative; ability to prioritize multiple assignments and meet deadlines.Preferred Qualifications : Board securities and corporate law practice, with a strong background in Securities Exchange Act of 1934 reporting, corporate governance, stock exchange listing standard compliance, experience in executive compensation, strong research and analytical skills, strong written and oral communication, excellent organizational and time management skills, experience in ESG reporting and reporting standards.Pay Transparency : Pay : Additional Details : This position is domiciled in Memphis, TN.
