Responsibilities:
- Perform complex paralegal duties requiring knowledge of legal terminology and legal processes from matter inception to completion.
- Draft and file corporate formation documents, operating agreements, purchase and sale agreements, summaries, reports, correspondence and other similar documents.
- File corporate formation documents, UCC filings, EIN applications and other similar applications and documents.
- Prepare title commitments, title insurance policies and surveys.
- Prepare closing documents, transaction checklists, closing binders, and settlement documents.
- Conduct due diligence, legal research, UCC searches, Secretary of State searches and other relevant research and searches.
- Maintain and manage calendars for applicable transaction deadlines.
- Communicate with vendors, clients, attorneys and other parties as needed.
Qualifications:
- A bachelor’s degree, paralegal degree or certification, and/or an equivalent combination of education and experience.
- 2 years of corporate or transactional experience required
- Must have knowledge of secretary of state, LLC, and all corporate filings
- Proficiency with Microsoft Word
- Highly organized, detail-orientated, and proactive with a desire to take ownership as a contributing member of the team.
- Balance competing priorities and work effectively in a fast-paced environment, exercising patience and professionalism during stressful situations.
- Strong communication and drafting skills.
- Some overtime may be required
Salary : $70,000 - $90,000
