FirstCash Holdings, Inc. is seeking an accomplished, results-driven Assistant General Counsel to join our dynamic legal team. This role will provide strategic legal counsel and oversight across a broad range of corporate functions, including legislative and regulatory compliance, employment law, corporate governance, commercial contracting, mergers and acquisitions, and real estate portfolio management.

The ideal candidate will bring strong leadership acumen, sound business judgment, and deep legal expertise to help mitigate risk, ensure regulatory compliance, and advance key corporate strategies in a fast-paced, highly regulated environment.

Legislative & Regulatory Compliance:
- Monitor and analyze proposed changes to federal and state legislation and regulations, providing clear, concise summaries of potential impacts on the company.
- Prepare detailed reports and recommendations to confirm whether legal or operational actions are required.
- Oversee the implementation of federal and state consumer finance legislative changes to ensure company-wide compliance.
- Provide strategic oversight and guidance to state lobbyists throughout lobbying initiatives and legislative campaigns.
Employment Law & HR Support:
- Partner with Human Resources to provide legal counsel on a wide range of employment matters, including employee discipline, terminations, leaves of absence, and compliance with employment laws and regulations.
- Represent the company in administrative proceedings before state and federal agencies, such as the Equal Employment Opportunity Commission (EEOC) and the Department of Labor (DOL).
- Manage responses to employment-related claims, internal investigations, and legal disputes.
- Assist in addressing OSHA complaints and workplace safety compliance matters.
- Develop, review, and maintain company-wide employment policies, procedures, and training programs to ensure legal compliance and best practices.
Corporate Governance & Contract Management:
- Draft, review, and maintain corporate governance documents, including consents, bylaws, board resolutions, and related materials.
- Review, draft, negotiate, and provide strategic legal guidance on a wide variety of commercial contracts, vendor agreements, and other legal documents to support business operations.
- Lead corporate simplification projects by coordinating with key stakeholders across departments, including executive leadership, licensing, tax, real estate, and regulatory teams, to manage entity mergers, withdrawals, and reorganizations.
- Provide legal support for franchise operations, including drafting and reviewing franchise agreements, managing franchise terminations, and ensuring regulatory compliance.
Mergers & Acquisitions (M&A):
- Support the company’s M&A activities by drafting and negotiating key transaction documents, including Letters of Intent (LOIs), non-disclosure agreements (NDAs), asset purchase agreements, and other deal-related documents.
- Assist with due diligence, risk assessments, transaction structuring, and post-closing legal integration efforts.
Real Estate & Facilities Legal Support:
- Draft and negotiate amendments to corporate office lease agreements, default notices, and related real estate legal documents.
- Prepare, review, and manage real estate documents such as Estoppel Certificates and Subordination, Non-Disturbance, and Attornment Agreements (SNDAs) to support property transactions and lease compliance.
Required Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in the state of Texas (or eligibility for admission via reciprocity if applicable).
- Member in good standing with the State Bar.
- 5 years of legal experience, preferably in a combination of corporate in-house legal roles and/or at a reputable law firm.
- Legal expertise across areas such as:
- Corporate governance and compliance
- Regulatory and legislative affairs (we currently operate in 26 U.S. states)
- Employment law and labor relations
- Mergers & Acquisitions (M&A)
- Commercial contracts and transactions
- Real estate law (including leases, facilities, and property management)
- Litigation management and dispute resolution (even if not actively litigating)
Physical Requirements:
- Prolonged periods of sitting at a desk and working on a computer.
- Ability to read, analyze, and interpret complex legal documents and data, often requiring close visual focus.
- Manual dexterity for typing, writing, and handling documents.
- Occasional lifting or carrying of files, legal documents, or office supplies (typically up to 10-15 pounds).
- Clear verbal communication to effectively convey legal advice in meetings, presentations, and negotiations.
- Ability to travel occasionally for business purposes, including meetings, conferences, or court appearances (if applicable).
Preferred Qualifications:
- Experience working in a publicly traded company or with public company reporting and compliance (e.g., SEC regulations).
- Experience with government affairs, lobbying, or public policy.
- Mediation or dispute resolution certification (helpful in HR-related legal matters).
