Franchising continues to grow as a method of expansion representing more than 50% of all retail sales. Franchise lawyers work on business transactions, trademarks, defaults termination and transfers, regulatory compliance and dispute resolution. We are a respected and experienced firm representing principally franchisors. The ideal candidate will have 3-5 years of experience practicing law, with a focus on business law, corporate transactions, and/or commercial litigation. This role requires a unique blend of legal expertise and business acumen to provide strategic counsel to our clients on complex legal and business matters.
Key Responsibilities:
• Transactional Work: Assist with the drafting, reviewing, and negotiating of commercial contracts, M&A, joint ventures, and other corporate transactions.
• Business Law: Provide legal advice on corporate governance, business formation, trademarks and regulatory compliance.
• Commercial Litigation: Represent clients in business-related disputes, including breach of contract, trademark infringement, unfair competition and regulatory investigations, and business disputes seeking both damages and injunctive relief.
• Risk Management: Advise clients on mitigating legal risks in various business dealings.
• Client Counseling: Collaborate with clients to understand their business goals and provide proactive legal solutions.
• Legal Research: Conduct legal research on complex corporate and business law issues to support client cases and internal projects.
Qualifications:
• Juris Doctor (J.D.) from an accredited law school.
• Admitted to practice law in Pennsylvania (additional state bar admissions a plus).
• 3-5 years of experience in business law, trademark enforcement, corporate transactions, or commercial litigation.
• Strong knowledge of contract law, corporate governance, and regulatory compliance.
• Experience working with startups, small businesses, and large corporations.
• Exceptional communication, negotiation, and client management skills.
• Ability to handle multiple projects and work under tight deadlines.
• Business acumen and experience with business strategy or finance is highly desirable.
Preferred Qualifications:
• Experience working in franchise law or its underlying legal disciplines like contract drafting, trademarks, M&A, dispute resolution, regulatory compliance is preferred.
• MBA or other business-related experience or qualifications, including familiarity with financial statements, profitability and small business is preferred.
