What are the responsibilities and job description for the Attorney - Local Partner position at Flatfee Corp?
We are looking for a local partner anywhere in the U.S. company associated with the store). This is a great opportunity for additional income. We will pay $800 per month (for 2-4 hours of work) for any Equity Member to serve this position. It is a free matching system, and we will provide client’s information for your review and your decision on whether or not to take on this role.
We have a client who is looking for a local partner in the U.S. who will serve as a majority shareholder of a proposed Delaware or California LLC (the “Equity Member”) for the purpose of TikTok/Amazon store set-up (as TikTok requires a U.S. local person to hold at least 75% equity interests in the U.S. company associated with the store).
The term for an Equity Member provided through our service is set at half a year or one year. The appointed Equity Member will aid in the LLC’s formation, TikTok/Amazon store set-up, as well as bank account opening for the LLC if requested by the client by providing his or her ID, SSN, or any other information or documents as required by TikTok/Amazon, but will not partake in the daily operation of the business. However, the Equity Member will be granted the viewing right to the company's TikTok/Amazon store and bank account and should monitor and review transactions to manage AML/KYC related risks. Should you opt for this service, we will circulate the client’s and the company's basic details to you for your review, and if you are interested, provide client with your resumes for the client’s selection. We will then help schedule an interview via Zoom between you and the client once you are selected, and three documents will be furnished to the parties for signature to proceed with the appointment, which include:
1. Equity Member Agreement - to be signed by You, the client, and us (Flatfee);
2. LLC Operating Agreement - to be signed by You and the client;
3. Membership Interest Transfer Agreement - You may also need to sign a Membership
4. Must be a licensed US attorney residing in the USA
Interest Transfer Agreement with the date in blank kept with us only so that you might be terminated when there is a breach or the client notify us (one-month advance notice is required).
