The Paralegal will provide research, analysis, and practical implementation of legal initiatives, with guidance from General Counsel, in legal matters; maintain confidentiality as necessary.
Education & Experience Requirements
- Associate’s or Bachelor’s degree in legal or paralegal field; or equivalent demonstrated skills and abilities.
- Paralegal certification, preferred.
Job Responsibilities
- Drive strategy and preparation of complex contracts and other agreements such as license & technology agreements, material transfer agreements, quality agreements, supply agreements, development agreements, intellectual property agreements, non-disclosure agreements, and confidentiality agreements. Support ongoing negotiations and update drafts as needed.
- Perform substantive review of agreements entered into with customers and suppliers for compliance with FWM requirements, applicable laws, and precedent-setting court decisions; make recommendations and revise agreements, as necessary, while keeping within negotiation deadlines.
- Build sustainable and effective Intellectual Property and Trademark strategy to prioritize and manage complex global portfolio to ensure business-critical intangible assets have the appropriate legal protections.
- Act as the primary liaison with outside legal counsel on numerous intellectual property matters, including trademark and patent development and filings. Monitor the progress on FWM filings and applications. Support resolution of pending matters, as necessary. Conduct research as necessary to stay abreast of relevant changes and adjust FWM’s global IP/TM strategy accordingly.
- Implement and maintain an enterprise system to document, prioritize, and organize legal initiatives and take a leadership role in significant matter management for FWM.
- Create the formal documentation necessary to establish and maintain legal entities such as LLCs and work with leadership as needed on other corporate forms.
- Support General Counsel on project management and other related activities.
- Perform other duties as requested by management.
Skills Needed
- Ability to work independently to build and execute on sophisticated matters, with limited supervision from General Counsel.
- Excellent organizational, communication, and writing skills.
- High level of proficiency with Microsoft Office programs and internet for research.
- Ability to analyze and interpret legal matters, implement plans, and maintain confidentiality of sensitive matters.
