The law firm of Foster Garvey PC is seeking a partner-level with at least seven years of experience in Fund Formation. This position offers the opportunity to work with the Firm’s diverse business clients on complex fund-related matters across various industry sectors. The candidate will collaborate regularly with talented attorneys across the Firm’s six offices.
Our dedicated team represents some of the country’s leading investment firms and fund sponsors, providing comprehensive legal support throughout the fund lifecycle. This position focuses on navigating the complexities of fund structures, regulatory compliance, investor negotiations, and governance issues.
The ideal candidate must have meaningful experience in the formation of funds focused on investment in private equity, real estate, venture capital, and / or other illiquid asset classes, with a focus on advising clients on all aspects of fund formation, fund structuring, capital raising, compliance, and related legal issues. This position requires superior academic credentials, top-tier professional experience, and excellent communication and teamwork skills.

Job Requirements
The successful candidate will have:
- 7 years of meaningful experience in the formation of funds focused on private equity, real estate, venture capital, and other illiquid asset classes, advising clients on fund formation, structuring, capital raising, compliance, and related legal issues;
- A portable book of business is required;
- JD from an ABA-accredited law school and license to practice law required;
- Strong academic credentials and excellent analytical and writing skills;
- A client-service approach and exceptional communication skills;
- Enthusiasm to work as part of a diverse team or independently;
- The ability to manage significant individual responsibilities;
- Strong attention to detail and organizational skills; and
- Responsive and professional service.
- Lead and manage the formation of private investment funds, including venture funds, venture studios, incubators, accelerators, private equity funds, and crypto venture funds;
- Draft and negotiate fund documentation such as limited partnership agreements, subscription agreements, and private placement memoranda;
- Advise clients on fund structuring and regulatory compliance;
- Provide ongoing counseling to fund managers and investors on fund-related matters;
- Advise clients on corporate governance issues, including fiduciary duties and conflicts of interest;
- Assist clients with regulatory filings and compliance matters related to private investment funds;
- Ensure compliance with federal and state securities laws and regulations;
- Advise clients on SEC regulations, including Investment Company Act, Investment Advisers Act, and other relevant regulations;
- Handle securities filings and reporting requirements;
- Negotiate and draft transactional documents for fund-related investments;
- Coordinate with other practice groups within the firm on multi-disciplinary transactions;
- Provide support on mergers and acquisitions, joint ventures, and other corporate transactions involving fund clients;
- Participate in client pitches and business development activities;
- Build and maintain relationships with existing and prospective clients;
- Stay abreast of industry trends and developments to provide proactive advice to clients.
