Franklin Venture Partners invests in mid- and late-stage private companies it believes are poised for transformative impacts across multiple industries.What is the Associate General Counsel, Franklin Venture Partners responsible for?The Associate General Counsel will be a part of Franklin Equity Group, working with Franklin Venture Partners as the primary legal partner in the deal team. The successful candidate will provide legal support for strategic venture transactions and investments, focusing on legal matters related to investments in private funds managed by the Franklin Venture Partners team, as well as marketing and distribution matters. As the legal partner embedded with the FVP team, this position is also the liaison with the centralized Franklin Templeton legal team, collaborating on matters related to fund structuring, formation and maintenance, as well as regulatory and governance issues.What are the ongoing responsibilities of the Associate General Counsel, Franklin Venture Partners responsible for?Acting as the primary legal lead on venture capital transactions, which shall include deal negotiation and execution, legal due diligence, and legal support to the portfolio management team.Acting as the legal liaison for portfolio companies.Partner with corporate development, business heads, portfolio managers, tax, operations, product lawyers, compliance team members and external lawyers and will be responsible for advising on as well as negotiating complex transactions.Reviewing marketing materials, client communications and presentations produced for venture partners clients.Educating internal clients with respect to legal, regulatory and industry developments relating to venture capital and private fund activities.Manage external U.S. and non-U.S. counsel on a cost-effective basis.Providing legal advice for strategic investment activities relating to acquisitions, sales, joint ventures, partnerships, minority and growth investments and other similar transactions.What ideal qualifications, skills & experience would help someone to be successful?Juris Doctor (JD) degree requiredMembership of the California state bar or certification as registered in-house counsel as applicable8-12 years of work experience (eight or more years post qualification experience) with at least three years of experience in (i) the venture capital practice and / or corporate transactional practice of a law firm; or (ii) in-house with a venture capital firm or investment management complex.Foundational knowledge of the securities laws and regulations including the Securities Act of 1933, Investment Advisers Act of 1940, and other regulatory regimes impacting privately offered funds.Excellent written and verbal skills and high degree of attention to detailDemonstrated initiative and self-directionAbility to analyze and research complex legal issues and translate research and analysis into practical and effective adviceStrong organizational skills and ability to balance and prioritize multiple matters involving different groups within a global, fast-paced environmentCompensation Range : Along with base compensation, other compensation is offered such as a discretionary bonus, 401k plan, health insurance, and other perks. There are several factors taken into consideration in making compensation decisions including but not limited to location, job-related knowledge, skills, and experience. At Franklin Templeton, we apply a total reward philosophy where all aspects of compensation and benefits are taken into consideration in determining compensation. The salary, benefits and variable rewards will reflect the seniority of the position and a competitive market rate.
